IGNITE TOURNAMENTS, INC. – TERMS OF SERVICE

Last Updated: June 2026

Welcome to Ignite Tournaments. Please read these Terms of Service (“Terms”) carefully before using the website located at ignitetournaments.com (the “Site”), our mobile application (the “App”), and any associated features, interactive Discord integration tools, or community infrastructure services provided by us (collectively, the “Services”).

1. Contractual Relationship and Corporate Entity

These Terms constitute a legally binding agreement between you and Ignite Tournaments, Inc., a corporation organized and existing under the laws of the State of Delaware (“Ignite,” “we,” “us,” or “our”).

For the avoidance of doubt, Ignite Tournaments, Inc. is the sole corporate entity operating, managing, and maintaining the Services. There are no other corporate parent organizations, subsidiaries, or affiliated service entities (such as Ignite Holdings or SE Gaming Services) involved in the provisioning, payment processing, or operational execution of the Services.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Description of Services and Business Model

Ignite provides an interactive, gamified infrastructure layer for the digital creator economy. The Services are designed to empower content creators, influencers, and digital communities to engage through structured quest lines, community leaderboards, channel milestones, and premium digital fan experiences.

  • Fan Subscriptions: Users may purchase recurring, fiat-based monthly subscriptions (“Fan Subscriptions”) to gain qualitative social benefits within their chosen creator communities. These benefits include, but are not limited to, priority creator interaction, exclusive community content vaults, special leaderboard ranking tags, custom chat badges, and community voting rights. You explicitly acknowledge and agree that Fan Subscriptions are purchased for the sole purpose of ongoing creator economy support and digital community engagement. Fan Subscriptions do not constitute, nor may they be used as, a buy-in, entry fee, or wager for tournaments or events featuring cash or monetary prizes.
  • No Stored-Value or Wallet Assets: The Services do not maintain, provision, or utilize digital “wallets,” user-held fiat balances, or electronic stored-value systems for players. Financial pay-ins are processed directly on a transactional or recurring SaaS basis for immediate ecosystem access.

3. Allocation of Funds: Pay-Ins vs. Rewards

We maintain a strict operational and legal separation between user-generated revenue and ecosystem rewards.

  • Ecosystem Pay-Ins: 100% of the subscription fees and pay-ins collected from fans are used solely to fund the ongoing operational utility, software maintenance, and creator deployment of the creator economy business model. Under no circumstances are fan subscription fees pooled, commingled, or utilized to fund competitive tournament prize distribution. Because there is an immediate, automated exchange of digital value and social prestige for dollars upon payment, all Fan Subscriptions operate independently of any gameplay or tournament outcomes.
  • B2B Sponsored Rewards and Independent Promotional Events: From time to time, and completely at the discretion of individual content creators, Ignite may host periodic, milestone-driven skill-based competitive events or showcases. Any financial rewards, perks, or recognition distributed in connection with these milestone events (collectively, “Sponsored Rewards”) are funded strictly and entirely by external, third-party Business-to-Business (B2B) corporate sponsors, game publishers, or independent creator promotional allocations. Sponsored Rewards are never funded by user pay-ins. Fulfillment of any cash-based Sponsored Rewards is executed entirely outside of Ignite’s standard pay-in billing infrastructure via independent corporate funding channels (e.g., direct bank wire transfers utilizing authorized third-party payout processors) and is subject to verification against independent sponsorship compliance parameters. In the absence of these periodic events, the user experience remains strictly bound to the standard monthly subscription loop of recurring fees in exchange for continuous social utility and creator access.

4. No Virtual Currency or Digital Assets

Ignite operates an entirely fiat-centric service ecosystem.

4.1 Non-Transferability of Community Status and Virtual Markers

Any reference to digital rewards, badges, leaderboard ranks, or premium status markers within the creator ecosystem refers strictly to qualitative visual indicators of community engagement within the App and Discord interfaces.

  • No Inherent Cash Value: These status markers have no cash value, cannot be redeemed for legal tender or fiat currency, and are fundamentally non-liquid.
  • Restriction on Private Secondary Transfer: Except where explicitly authorized, provisioned, and systemically facilitated through the native infrastructure of the Ignite platform, users are strictly prohibited from transferring, selling, bartering, or trading community status markers, roles, or accounts to third parties or between individual user accounts. Any unauthorized external sale or liquidation attempts will result in immediate account termination.

4.2 Prohibition of Cryptocurrency and Blockchain Digital Assets (No NFTs)

The Services operate strictly on standard fiat currency processing rails.

  • No Decentralized Assets: The Services do not support, issue, hold, process, or settle any form of cryptocurrency, decentralized virtual currencies, or blockchain-based tokens.
  • No Non-Fungible Tokens (NFTs): The platform explicitly does not utilize, integrate, or support Non-Fungible Tokens (NFTs), digital digital collectibles minted on public ledgers, or associated Web3 digital asset architectures. All platform perks, badges, and roles exist solely within Ignite’s private, proprietary database infrastructure.

5. Fees, Billing Procedures, and Sponsored Rewards

5.1 Fan Subscription Fees & Cancel At Any Time Framework

Fees and billing frequencies for recurring premium community access (“Subscription Fees”) are clearly detailed on the localized payment processing forms within the App or subscription interface at IgniteTournaments.com/pay. All transaction fees are denominated and executed in U.S. Dollars (USD) and must be paid via authorized credit card or approved fiat payment rails. By signing up for a paid tier, you authorize Ignite (and our integrated third-party payment processing gateways) to automatically charge your designated payment instrument at the start of each recurring monthly billing cycle.

All Fan Subscriptions feature an absolute “Cancel At Any Time” policy. Users may terminate their recurring subscription at any time through their account dashboard without penalty. Upon cancellation, premium access, creator chat perks, and leaderboard status tags will remain active until the conclusion of the current paid billing cycle, after which the account will naturally degrade to the standard free tier. Price adjustments may be implemented by Ignite at any time; however, no price modifications will retroactively affect past purchases.

5.2 Billing Discrepancies and Fraudulent Chargeback Recovery

Ignite reserves the right to adjust platform fees and processing mechanics by updating our client-facing payment fields. You must alert us to any billing error within 120 days of its appearance on your financial statement to initiate a prompt internal investigation. After 120 days, Ignite is freed from any liability to correct the error or provide an adjustment. Verified billing adjustments will be rectified by our financial systems within 90 days.

Because our business model features upfront transparency and immediate digital delivery, bad-faith payment disputes or friendly fraud are strictly prohibited. You explicitly agree to reimburse Ignite for all reasonable collection costs, administrative overhead, and legal costs—including reasonable attorneys’ fees—incurred by the company to recover past-due subscription balances or reverse fraudulent chargeback costs initiated through your banking institution.

5.3 Account Termination and Premium Access Forfeiture

As established in Section 2, the Ignite platform features no stored-value user wallets, cash deposits, or withdrawable player cash balances. If you choose to close your account voluntarily, or if your account is unilaterally suspended or terminated for cause by our community management team due to data manipulation, botting, credit card fraud, or cheating, all active recurring Fan Subscriptions are cancelled immediately. Upon termination, all qualitative status markers, custom chat badges, active community perks, and unverified claims to promotional campaign rewards are permanently forfeited with zero cash value.

5.4 B2B Sponsored Reward Verification & Payout Isolation

As defined in Section 3, any occasional milestone-driven skill events offering physical merchandise or fiat promotional payouts (“Sponsored Rewards”) are funded strictly and entirely by external corporate sponsors or independent creator promotional funds, and never from user subscription pools. Furthermore, these promotional prize payouts are structurally separated from the platform’s primary pay-in infrastructure.

To claim an eligible cash or merchandise Sponsored Reward, you must submit to a rigorous identity and validation protocol managed via ACAMS-certified Know Your Customer (KYC) software frameworks. Required verification steps include:

  • Submission of your verified full legal name, active telephone number, and permanent physical residence address.
  • A secure photographic “selfie” alongside a valid, unexpired government-issued identification document.
  • Verification of geographic location telemetry to ensure compliance with regional jurisdictional mandates.

Failure to complete this identity verification loop to our satisfaction within the designated campaign window will result in the immediate and permanent forfeiture of the relevant Sponsored Reward.

5.5 Credit Card Integrity and Anti-Fraud Systems

By entering card details on our secure billing page, you represent and warrant that you are the fully authorized owner and user of that credit card instrument. Any attempt to execute fraudulent transactions, submit falsified billing credentials, utilize proxies to evade region-specific subscription billing constraints, or engage in card-testing behaviors will trigger immediate and permanent account deletion, systemic leaderboard banishment, and the automated escalation of data records to international financial risk registries and law enforcement agencies.

5.6 Tax Obligations and Reporting

If your verified B2B Sponsored Rewards equal or exceed a cumulative total of $600.00 USD within a single calendar year, Ignite (or our third-party processing partners) will require you to complete appropriate tax documentation prior to distributing any further rewards. U.S. residents will be issued an IRS Form W-9 and subsequent Form 1099-MISC; non-U.S. residents will be required to submit an IRS Form W-8BEN. You maintain sole, exclusive liability for tracking, reporting, and paying all federal, state, and local taxes due to your home jurisdiction as a consequence of receiving platform promotional rewards.

6. Compliance, Identity Verification, and Anti-Fraud

To maintain the safety and financial integrity of our creator network, Ignite utilizes strict anti-fraud monitoring routines.

  • Eligibility: You must be at least 18 years of age (or the age of majority in your jurisdiction) to purchase a Fan Subscription or participate in any B2B-sponsored milestone events.
  • Verification: Ignite reserves the right to require identity verification procedures—including Know Your Customer (KYC) and Anti-Money Laundering (AML) checks managed via ACAMS-certified protocols—prior to verifying any user eligibility for B2B-sponsored promotional rewards. Failure to provide accurate verification data will result in immediate disqualification and account suspension.

7. Licensing, Asset Rights, and Ownership

7.1 User Content License: By submitting, posting, or displaying content on or through the Services—including text, images, memes, comics, artwork, or trivia responses via our App or interactive Discord bot configurations—you grant Ignite Tournaments, Inc. a worldwide, perpetual, irrevocable, royalty-free, fully paid-up, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and commercialize such content in any media form now known or later developed. You represent and warrant that you own or possess all necessary intellectual property rights to grant this license without violating any third-party rights.

7.2 Platform Ownership: Except for your User Content, all right, title, and interest in and to the Services—including software, leaderboard aggregation data engines, API hooks, user interface graphics, system text, and underlying brand assets—remain the exclusive property of Ignite Tournaments, Inc. No ownership transfer occurs by your utilization of our digital subscription ecosystem.

12. Account Termination and Suspension

Ignite reserves the right, without notice and at our sole discretion, to temporarily suspend, restrict access to, or permanently terminate your account and blacklist your user ID from the leaderboard systems. Grounds for termination include, but are not limited to, verified data manipulation, cheating, fraud, chargeback abuse, or behavior that violates our community standards. If an account is terminated due to fraud or compliance breaches, all accrued status points and active subscription access are forfeited immediately.

14.3 Class Action Waiver: YOU AND IGNITE TOURNAMENTS, INC. AGREE THAT ANY PROCEEDINGS TO RESOLVE OR LITIGATE ANY DISPUTE IN ANY FORUM WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS. NEITHER YOU NOR IGNITE SHALL SEEK TO HAVE ANY DISPUTE HEARD AS A CLASS ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR IN ANY OTHER PROCEEDING IN WHICH EITHER PARTY ACTS OR PROPOSES TO ACT IN A REPRESENTATIVE CAPACITY. No arbitration or proceeding can be combined with another without the prior written consent of all parties to all affected arbitrations or proceedings.

14.4 Arbitration Procedure: Any arbitration under this agreement will be conducted confidentially before a single neutral arbitrator appointed by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitrator’s award shall be binding and may be entered as a judgment in any court of competent jurisdiction. Each party shall bear its own legal fees, and the cost of the arbitration administration shall be shared equally unless the arbitrator determines a claim was brought frivolously.

14.6 Equitable Relief: Notwithstanding the agreement to resolve all disputes via binding individual arbitration, Ignite Tournaments, Inc. reserves the explicit right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of our intellectual property rights, data security boundaries, or proprietary server architectures.
